These terms govern your use of First Pass. The important parts in plain English: your footage stays yours, you're responsible for having the right to process it, and the service is provided on a subscription with a free trial.

1Who we are & acceptance

First Pass (“the Service”) is provided by Trick of the Light Ltd (“we”, “us”), registered in England & Wales [company no. / address]. By installing or using First Pass, or clicking “start free trial”, you (“you”, the “Customer”) agree to these terms. If you're using it for an organisation, you confirm you're authorised to bind it.

2The Service & your licence

First Pass is a Premiere Pro plugin that transcribes interview footage and assembles rough cuts. We grant you a personal, non-exclusive, non-transferable licence to use it on the number of machines allowed by your plan, for the duration of your subscription. Plans, hours and machine limits are shown at checkout.

3Your account & licence key

4Your content & ownership

You own your footage. We don't. We claim no ownership of any footage, audio, transcripts, or cuts you create with First Pass.

You grant us only a limited, temporary licence to process your footage solely to provide the Service to you (transcription, theme detection, assembly). As described in our Privacy Policy, we do not store your footage or transcripts — they're processed in transit and returned to you.

5Your responsibilities & warranties

This is important. You are the data controller for the footage you process, and you are solely responsible for it. You represent and warrant that:

Sensitive content is your responsibility. First Pass simply processes what you submit. Ensuring you have the right to process it — and that any sensitive or special-category personal data within it is handled lawfully — is entirely down to you as the controller. Our Data Processing Agreement sets out how we handle it as your processor.

6Our intellectual property

First Pass is ours. The software, the “First Pass” name and logo, the look and feel, and the ideas, workflows and know-how behind how it works all belong to us. Your subscription lets you use it — it doesn't give you any ownership of it, or the right to rebuild it.

All intellectual property rights in and to the Service — including its software and source code, the “First Pass” name, logos and branding, its user interface, visual design, documentation, and the underlying methods, techniques, workflows and know-how — are and shall remain the exclusive property of Trick of the Light Ltd and its licensors. The licence in section 2 is a right to use the Service only; all rights not expressly granted to you are reserved, and no ownership of any part of the Service is transferred to you.

You must not, and must not permit or assist anyone else to:

Feedback. If you send us ideas, suggestions, or feedback about the Service, we are free to use them without restriction and without any obligation to you, and you assign to us any rights you may have in them.

The “First Pass” name and logo are our trademarks. Nothing in these terms grants you any right to use them.

7Acceptable use

You agree not to: use the Service to break any law or infringe anyone's rights; resell or provide it as a service to third parties; or attempt to bypass licensing, usage limits, or security. The intellectual-property restrictions in section 6 also apply.

8Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or costs (including reasonable legal fees) arising from your footage, your use of the Service, or your breach of section 5 or section 6. In particular, we are not liable for any claim that arises because you did not have the right or consent to process footage you submitted.

9Fees, trial & cancellation

10Third-party services

First Pass relies on third-party providers (including AssemblyAI and Anthropic) to function. Your use is also subject to their terms, and we're not responsible for their acts or outages.

11Availability, warranties & liability

The Service is provided “as is”. We work hard to keep it reliable and accurate but don't warrant it will be uninterrupted or error-free, and AI output should be reviewed by you. To the fullest extent permitted by law, our total liability to you in any 12-month period is limited to the fees you paid us in that period, and we're not liable for indirect or consequential loss. Nothing here limits liability that can't be limited by law.

12Termination

Either of us may end this agreement: you by cancelling; us if you breach these terms or don't pay. On termination your licence ends and you must stop using the Service. Sections 6, 7, 8 and 11 survive termination.

13Changes & governing law

We may update these terms; material changes will be notified and the date above revised. These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
